Non-Disclosure Agreement (NDA) is a typical way to protect sensitive information of a company or startup. Such information includes a business idea, marketing strategy, proprietary code, etc.
NDA is a legal document signed by two or more parties to manifest their confidential relationship. The agreement could be either one-side or mutual.
Usually, an NDA is signed if two companies are going to do business together. It can also be signed by a company and an employee who has access to the company information which should not be discovered by a third party. Sometimes, an NDA is signed between a startup company and a potential or existing investor.
